Welcome to VoiceWala. These Terms and Conditions ("Terms") govern your use of the VoiceWala website (the "Site") and the software/services provided by IvaanLabs LLP ("We", "Us", "Our").

By accessing this website and purchasing our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Account Registration & Security

To access certain features of VoiceWala, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2. License & Intellectual Property Rights

Platform Ownership: The VoiceWala platform, code, design, and underlying technology are the intellectual property of IvaanLabs LLP and/or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

3. Lifetime Deal & Credit Usage Policy

The term "Lifetime" refers to the lifetime of the VoiceWala product. It grants you access to the tool without monthly subscription fees. However, character limits are reset on a monthly basis.

Depending on the plan purchased, your license includes a specific character limit per month:

• Standard Plan: 100,000 characters/month
• Creator Lifetime: 500,000 characters/month
• Agency Plan: Unlimited characters (Subject to Fair Use Policy)

Note: Unused credits do not roll over to the next month. Credits reset automatically on the 1st of every calendar month.

4. Voice Library Updates

We are constantly improving our voice engine. As such, VoiceWala may periodically add new voices or update existing ones to enhance audio quality. Occasionally, we may need to retire specific voices from the platform. We reserve the right to modify our voice library at our discretion.

5. Fair Use Policy

To ensure the stability of our service for all users, we enforce a Fair Use Policy. While plans may be labeled as "Unlimited," they are subject to standard human usage limits.

If a user on a non-recurring (Lifetime) plan consistently exceeds the usage patterns of 99.9% of our user base (e.g., using automated bots to generate audio 24/7), we reserve the right to limit generation speed or contact the user to upgrade to an Enterprise plan.

6. Restrictions

You are specifically restricted from all of the following:

• Publishing any Website material in any other media without permission;
• Selling, sublicensing, and/or otherwise commercializing any Website source code;
• Using this Website in any way that is or may be damaging to this Website;
• Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to this Website.

7. Voice Cloning & Authorization

You acknowledge and agree that you may only use the Voice Cloning feature to clone your own voice or the voice of a third party for which you have obtained explicit, written consent. By uploading any audio file for cloning, you represent and warrant that you own all necessary rights, licenses, and permissions to use that voice. VoiceWala reserves the right to terminate your account and delete any voice clones if we suspect unauthorized usage or infringement of third-party rights.

8. Payments & Taxes

• Pricing: All prices listed on the site are in INR (Indian Rupees) unless stated otherwise.
• Taxes (GST): Prices displayed on the pricing page are exclusive of taxes. As per Indian regulations, 18% GST will be calculated and added at the checkout popup provided by Razorpay.
• Payment Gateway: Payments are processed securely via Razorpay. We do not store your card or banking details on our servers.

9. No Warranties

This Website is provided "as is," with all faults, and VoiceWala expresses no representations or warranties, of any kind related to this Website or the materials contained on this Website. Also, nothing contained on this Website shall be interpreted as advising you.

10. Prohibited Content

You may not use VoiceWala to generate content that promotes hate speech, violence, discrimination, or creates "Deepfakes" intended to deceive or harm public figures. Violation of this policy will result in immediate account termination without refund.

11. Limitation of Liability

In no event shall VoiceWala, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract. VoiceWala, including its officers, directors, and employees shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Website.

12. Indemnification

You hereby indemnify to the fullest extent VoiceWala from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

13. Variation of Terms & Assignment

VoiceWala is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis. VoiceWala is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

14. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of India, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Bengaluru, Karnataka for the resolution of any disputes.
